GoGira Terms of Use
Effective Date: April 27, 2026
These Terms of Use (the “Terms” or this “Agreement”) are a legally binding agreement between you and Shyres SCR Inc. d/b/a GoGira (“GoGira,” “we,” “us,” or “our”) governing your access to and use of our websites, applications, features, content, and related services (collectively, the “Service”).
By using the Service, you agree to these Terms, our Privacy Policy, and Content & Community Guidelines.
GoGira Privacy Principles
GoGira is designed as a student-first decision infrastructure platform. Our data practices are guided by the following principles:
- No hidden tracking.
- No student data monetization.
- No third-party advertising networks within the product.
- Student-directed and controlled data sharing.
- Workflow-based and permission-based access to information.
- Context-limited insights and analytics (not surveillance-based).
GoGira collects user-directed signals (e.g., “Reject,” “Waitlist,” “Go!”) as intentional inputs, not passive behavioral surveillance.
These signals and related data may be used within GoGira to:
- generate matches and recommendations;
- provide aggregated, deidentified, or context-specific insights to institutions and partners;
- support outreach, engagement, and workflow-based interactions initiated by the student.
Where a student explicitly connects with an institution or partner, certain information, including profile data, expressed preferences, and limited indicators of interest, may be made available within the scope of that connection and related workflow, as described in this Agreement and the Privacy Policy.
GoGira may also provide institutions and partners with analytics, dashboards, and exportable data that reflect:
- aggregated or segmented trends;
- engagement with content or programs;
- user-directed signals (e.g., “Go!,” “Waitlist,” “Reject”); and
- attributes, preferences, or filters derived from user-provided or user-directed inputs;
provided that such information is made available only within GoGira features and does not include unrestricted access to raw user activity or continuous behavioral tracking data.
GoGira does not provide:
- continuous behavioral tracking data;
- raw behavioral logs or unrestricted user activity streams;
- cross-platform or third-party tracking data; or
- data for independent profiling, audience targeting, or unrelated commercial purposes.
1) Who May Use the Service
Age. You must be 13 years or older to use the Service. If you are under 18, your parent or legal guardian has reviewed and agreed to these Terms on your behalf where required by law.
Entities. If you use the Service on behalf of an institution, organization, or company, you represent and warrant that you have authority to bind that entity, and that the entity accepts this Agreement.
Eligibility. You may not use the Service if we have previously terminated or banned your account.
2) Accounts
You must create an account and provide accurate information. You are responsible for all activities that occur under your account. Do not share your account or credentials. Notify us immediately of unauthorized use. We may close or suspend accounts at our discretion consistent with these Terms.
3) Our Service
GoGira helps users discover and connect with higher-education, career, and financial-aid content and services. We continually improve the Service and may add or remove features, content, or functionality.
Students may choose to share profile information with higher-ed institutions and partners through GoGira. Sharing a profile does not automatically share direct contact information. Direct contact information and communication preferences may become visible to a specific recipient when the student chooses to connect through the relevant GoGira feature or workflow, as described in the Privacy Policy.
GoGira uses user-directed inputs (such as “Reject,” “Waitlist,” and “Go!” selections) to improve matching and recommendations within the Service. These inputs are intentional, visible actions taken by users and are not derived from hidden behavioral tracking or passive monitoring.
These signals are used only within GoGira to support matching and connection workflows and are not used for external advertising, resale, independent analytics, or third-party targeting.
These signals are generated solely from user actions within the GoGira Service and not from off-platform activity or third-party tracking technologies.
4) Documents Incorporated by Reference
Your use of the Service is also governed by our Privacy Policy and Content & Community Guidelines, which may be updated from time to time as described below.
5) Your Content & IP Rights
5.1 Your Content
You may be able to upload, post, submit, transmit, or otherwise make content available on the Service (“Content”). You are legally responsible for the Content you provide and must have all rights, permissions, and authority necessary to do so. Your Content must comply with this Agreement, our Privacy Policy, our Content & Community Guidelines, and applicable law.
5.2 License to GoGira
By submitting or otherwise making Content available on the Service, you grant GoGira a worldwide, non-exclusive, royalty-free license, sublicensable only to our service providers and Affiliates acting on our behalf and transferable only in connection with a merger, acquisition, reorganization, or sale of assets, to host, store, cache, reproduce, modify, format, transmit, display, perform, distribute, and otherwise use the Content only as reasonably necessary to operate, provide, secure, support, maintain, improve, and administer the Service and related user-requested features and workflows.
This license includes the right to:
- format, transcode, compress, resize, index, and otherwise technically process Content for compatibility, accessibility, storage, delivery, and display;
- create derivative works only as technically necessary to operate and improve the Service;
- make Content available to other users, institutions, partners, references, parents/guardians, and other authorized recipients only as enabled by the specific Service features, permissions, profile-sharing choices, connections, workflows, and settings you use; and
- retain and use Content as reasonably necessary for safety, security, fraud prevention, backup, archival, audit, dispute resolution, legal compliance, and enforcement of this Agreement.
5.3 Public, Shared, and Private Content
Some Content may be visible to other users, higher-ed institutions, partners, references, parents/guardians, or other authorized recipients depending on the specific GoGira feature, your profile-sharing choices, your connections, your settings, and the workflow involved. Other Content may remain private, restricted, or workflow-limited.
Private or workflow-restricted Content, including direct messages, reference content, Fast-Track References, essays, portfolio materials, submitted forms, non-public student materials, and similar content, is not generally visible through the Service, but may be made visible through the Service to specific higher-ed institutions, partners, references, parents/guardians, and other authorized recipients as enabled by the student's profile-sharing choices, connections, submissions, permissions, and the relevant GoGira feature or workflow. Nothing in this Agreement authorizes GoGira or other users to use such private or workflow-restricted Content outside the intended GoGira experience or authorized workflow except as permitted by applicable law, the relevant workflow, or the student's separate direction or consent.
Private or workflow-restricted Content may not be accessed, monitored, analyzed, or used for behavioral tracking, analytics, or profiling purposes outside the intended GoGira workflow.
5.4 Ownership
You retain ownership of your Content, subject to the rights you grant in this Agreement. Except for the limited rights expressly granted here, nothing in this Agreement transfers ownership of your Content to GoGira.
5.5 Moral Rights
To the extent permitted by law, you waive, or agree not to assert against GoGira, any moral rights that would prevent GoGira from exercising the limited license above for the purposes described in this Section 5.1.
5.6 Term of License
The license you grant to GoGira lasts while your Content remains on the Service and, solely for backup, archival, audit, security, dispute-resolution, legal-compliance, and enforcement purposes, for a reasonable period after you remove it or your account is deleted. We may retain and use Content beyond that period where required or permitted by law, reasonably necessary to resolve disputes, enforce our agreements, prevent fraud or abuse, preserve evidence, comply with takedown or counter-notice procedures, or meet safety or recordkeeping obligations.
5.7 License to Other Users and Recipients
You grant other users, higher-ed institutions, partners, references, parents/guardians, and other authorized recipients only the limited, non-exclusive, royalty-free rights necessary to access and use your Content through the specific GoGira features, permissions, profile-sharing choices, connections, and workflows you choose to use. No off-platform rights are granted unless you separately choose to share Content or information outside the Service.
No user or recipient may use your private, non-public, or workflow-restricted Content outside the intended GoGira experience or authorized workflow except as permitted by applicable law, the relevant workflow, or your separate direction or consent.
5.8 Removing Your Content
You may remove certain Content at any time through available Service features. We may also remove, restrict, or disable access to Content that violates this Agreement, our policies, or the law, or where reasonably necessary to protect users, maintain the integrity of the Service, or comply with legal obligations. We will notify you of the reason unless doing so would violate law, compromise an investigation, or create a risk of harm. Appeals are available as described in Section 7.
Removing Content from the Service does not necessarily delete all copies immediately. Residual copies may remain for a limited period in backups, logs, archives, dispute records, safety systems, or other retention systems as described in our Privacy Policy.
5.9 Sponsorships, Promotions, and Commercial Presentation
We may display sponsorships, featured placements, promotions, or other commercial content in connection with the Service as permitted by law and our policies. Nothing in this Section 5.1 entitles you to compensation unless we expressly agree otherwise in writing.
Nothing in this Agreement authorizes GoGira to use private student content, direct messages, references, Fast-Track References, or other non-public or workflow-restricted Content for unrelated advertising or marketing purposes.
5.10 GoGira Content and Marks
The Service and all GoGira content, trademarks, logos, and other brand features are owned by or licensed to GoGira and protected by law. Except for the rights expressly granted, no license or ownership interest is transferred to you.
6) Permissions and Restrictions
6.1 Institutional and Partner Use of Student Information
Where the Service or an authorized workflow allows a higher-ed institution, partner, counselor, employer, scholarship provider, or other authorized recipient (“Recipient”) to access or receive student information after a student shares a profile, connects, submits a form, applies, requests information, RSVPs, shares media, or otherwise engages through GoGira, that Recipient may access, download, export, sync, or import that information into its CRM, admissions, recruiting, scholarship, advising, internship, employment, counseling, tutoring, financial-aid, or comparable internal systems solely to manage the resulting student relationship and the specific workflow for which the information was made available.
Such Recipients may do so only:
- for the specific Recipient and workflow through which the information was made available;
- consistent with the student's communication preferences and the purpose for which the information was shared;
- in compliance with applicable law, including any consent requirements for calls, texts, emails, marketing communications, or other outreach;
- subject to applicable retention, redisclosure, confidentiality, and security obligations; and
- in accordance with this Agreement, the Privacy Policy, the Content & Community Guidelines, and any applicable institutional, subscription, or data-processing agreement.
- Any use of student information beyond the scope permitted in this Section constitutes a material breach of this Agreement.
Restrictions on Use
Unless separately authorized by the student, school, or applicable law, Recipients may NOT:
- export, retain, or repurpose student-level information relating to non-connected or non-matched students beyond the period reasonably necessary for the applicable workflow;
- sell student information, create unrelated commercial profiles, or use student information for cross-context behavioral advertising;
- use student information obtained through GoGira for unrelated lead generation, unrelated marketing audiences, data brokerage, or commercial enrichment;
- use private or workflow-restricted content (including messages, references, essays, portfolios, or Fast-Track References) for AI training, analytics, public marketing, or unrelated commercial purposes;
- treat a student's shared profile alone as permission for off-platform contact where the student has not explicitly connected or shared contact information through the relevant GoGira feature or workflow;
- access or use sensitive demographic information beyond what is explicitly permitted by GoGira's design, permissions, policies, and applicable law;
- derive or infer behavioral patterns, engagement scoring, or predictive models about students beyond what is explicitly made available through GoGira's intended functionality;
- combine GoGira data with third-party datasets for profiling, targeting, or unrelated analytics;
- use GoGira-derived data for independent analytics systems, model training, audience creation, or scoring systems;
- retain or use student information beyond the duration and purpose of the applicable GoGira workflow.
6.2 Student Communications and Contact Information
Students may choose to share profile information with higher-ed institutions and partners through GoGira. Sharing a profile does not automatically share direct contact information.
Direct contact information and applicable communication preferences (including email, SMS/text, in-app notifications, push notifications, and physical mail where applicable) may become visible to a specific higher-ed institution or partner when the student chooses to connect through the relevant GoGira feature or workflow. Students may also choose to share additional information, including contact information, through messages or other interactions at their own discretion.
Any recipient using contact information obtained through GoGira is responsible for complying with applicable law and honoring the student's communication preferences and opt-out choices.
Access to contact information through GoGira does not, by itself, constitute consent for any specific communication method where separate consent is required by law.
6.3 Platform Data Practices and Tracking Restrictions
To protect users, especially students, GoGira strictly limits how data may be collected, observed, or analyzed within the Service.
A. Permitted Data Use (User-Directed and First-Party Only)
GoGira may collect and use:
- user-directed signals, meaning actions and information a user intentionally provides or takes within the Service (e.g., “Reject,” “Waitlist,” and “Go!” selections, profile inputs and updates, connections, forms, resumes, portfolios, essays, Fast-Track References, submissions, and other user-provided content); and
- first-party operational data, including limited usage, diagnostic, and performance data necessary to operate, secure, maintain, and improve the Service.
Such data:
- is intentionally provided by the user or clearly generated through use of the Service;
- is visible to, or reasonably expected by, the user; and
- is used only within GoGira for product functionality, matching, safety, security, and service improvement.
Where reasonably possible, such data is processed in aggregated or deidentified form and is not used to create independent user profiles, scoring systems, or behavioral models outside the GoGira Service.
GoGira does not rely on hidden behavioral surveillance, passive monitoring, or off-platform activity tracking to infer user intent.
B. Prohibited Tracking and Surveillance
GoGira does not permit the use of hidden surveillance or intrusive tracking technologies within the Service.
Specifically, GoGira does not use, and does not permit any user, institution, partner, or third party to use:
- session replay tools;
- keystroke logging;
- hidden behavioral tracking; or
- similar technologies that capture user activity beyond what is necessary to operate the Service.
C. Protection of Communications and Sensitive Workflows
No user, institution, partner, or third party may:
- monitor, intercept, record, or analyze student communications (including messages, submissions, reference content, essays, portfolios, or Fast-Track References) outside the intended GoGira workflow;
- use any tracking or analytics tools within workflows involving private or sensitive student content;
- extract behavioral insights from private or workflow-restricted content for unrelated purposes.
D. No Unauthorized Tracking or Data Extraction
No user, institution, partner, or third party may:
- deploy scripts, pixels, SDKs, or other tracking technologies within GoGira interfaces or workflows;
- scrape, harvest, or extract behavioral or usage data beyond what is explicitly made available through the Service;
- attempt to reverse engineer, infer, or reconstruct user behavior outside the intended functionality of the Service.
E. Prohibition on Eavesdropping or Interception
GoGira prohibits any attempt to use the Service in a manner that could reasonably be interpreted as:
- “eavesdropping,”
- “wiretapping,” or
- unauthorized interception of communications
under applicable law.
F. Enforcement
Any violation of this Section is a material breach of this Agreement and may result in:
- immediate suspension or termination of access;
- restriction of data access; and/or
- legal action where appropriate.
G. Matching and Signal-Based Sharing
GoGira may use user-directed signals (such as “Reject,” “Waitlist,” and “Go!” selections), together with user-provided profile information, to generate matching results and insights within the Service.
These signals may be used to:
- determine relevance or fit between students and higher-ed institutions or partners;
- surface opportunities, programs, or organizations to users;
- facilitate connections between users and institutions or partners through GoGira features and workflows.
Where a student chooses to share their profile or connect with an institution or partner, GoGira may make available:
- the student's profile information;
- the student's expressed preferences within GoGira; and
- limited, context-specific indicators of interest or alignment derived from user-directed activity within GoGira,
solely within the context of the specific GoGira feature, connection, or workflow initiated by the student.
Such information:
- is provided only to support the specific connection, evaluation, or workflow requested by the student;
- is not generated through continuous behavioral tracking, passive monitoring, or off-platform activity tracking; and
- is not intended to create independent behavioral profiles of users.
Recipients may not use such information for:
- independent behavioral analytics or profiling;
- cross-platform tracking or monitoring;
- audience creation, targeting, or advertising;
- combining with third-party datasets for unrelated purposes;
- model training, scoring systems, or predictive analytics outside the intended GoGira functionality; or
- any unrelated commercial purpose.
Recipients must use such information only for the duration and purpose of the applicable GoGira workflow and in accordance with this Agreement, the Privacy Policy, and applicable law.
GoGira does not provide continuous monitoring data, raw behavioral logs, or unrestricted access to user activity data to recipients.
6.4 Student Data Protection and Non-Monetization
GoGira does not monetize student personal information, including through advertising, profiling, analytics resale, or data brokerage.
- No selling or renting of data.
- No data brokerage.
- No ad-targeting using student data.
- No cross-context behavioral advertising.
Student data is used only:
- as directed by the user;
- to provide the Service;
- as required by law.
6.5 Service Providers and Data Processing
GoGira may use service providers (e.g., hosting, analytics, communications).
All providers:
- act solely on GoGira's behalf;
- are contractually restricted from independent use.
Providers may NOT:
- use data for advertising;
- resell data;
- train models;
- create profiles.
GoGira prohibits vendors from:
- cross-platform tracking;
- behavioral surveillance;
- data brokerage.
Service providers may not deploy session replay, user-level behavioral tracking, or similar monitoring technologies within GoGira workflows.
Service providers are not permitted to independently collect, retain, or use user-level interaction data for their own purposes or outside GoGira's instructions.
6.6 Data Misuse Enforcement
GoGira reserves the right to:
- audit data usage;
- restrict access;
- terminate accounts for misuse.
This includes misuse by:
- institutions;
- partners;
- users.
7) User-Generated Content, Safety & Moderation
We prohibit content and conduct that violate our Content & Community Guidelines or the law. We may remove or restrict content, access, or features where reasonably necessary to protect minors, safeguard confidential student information, or enforce workflow-specific privacy and data-use rules.
Reporting. Every post/profile includes a Report control. Reports are triaged 24/7; we acknowledge within 24 hours and take appropriate action (e.g., labeling, removal, age-gating, feature limits, suspension/termination).
Blocking. You can Block other accounts to prevent further contact.
Appeals. If we restrict your Content or account, we will notify you and provide a way to appeal through the Help Center.
Child Safety (CSAM). We ban child sexual abuse material and related exploitation. We report apparent CSAM to NCMEC (CyberTipline) as required by law and preserve information as required.
Contact. Urgent safety issues: contact@gogira.com (monitored daily).
We may take action, including restriction, suspension, or termination, where users, institutions, or partners misuse data, attempt unauthorized tracking, or violate data-use restrictions defined in this Agreement.
8) Changes to the Service
We continuously improve the Service and may add or remove features or content, or discontinue parts of the Service, to enhance performance, security, or compliance. For material changes that negatively impact your use, we will provide reasonable advance notice unless urgent (e.g., security, legal, or abuse prevention).
9) Changes to These Terms
We may update these Terms to reflect changes to the Service, legal, regulatory, or security requirements, or to prevent harm. For material changes, we will provide reasonable advance notice and an opportunity to review before the changes take effect, unless urgent. If you do not agree, you should stop using the Service and remove your Content. Continued use after the effective date constitutes acceptance.
10) DMCA Notice & Takedown
We respect intellectual-property rights. If you believe your work was posted without authorization, send a notice under 17 U.S.C. §512(c)(3) to our DMCA Agent:

We will remove or disable access to alleged infringements and may terminate repeat infringers. If your Content was removed in error, you may submit a counter-notice under §512(g). We have designated our agent with the U.S. Copyright Office.
11) Subscriptions, Billing & Cancellation (Auto-Renewal)
11.1 Paid Services
Some features of the Service may require payment, including student subscriptions, memberships, institutional plans, partner plans, or other paid offerings (collectively, “Paid Services”). By purchasing or subscribing to a Paid Service, you agree to pay all applicable fees, charges, taxes, and amounts due for the selected plan.
If you purchase a Paid Service on behalf of an institution, organization, or company, you represent and warrant that you are authorized to make that purchase and bind that entity to the applicable payment obligations.
11.2 Billing Authorization
When you purchase a Paid Service, you authorize GoGira and its payment processors to charge the payment method you provide for the applicable fees, taxes, renewals, and any other amounts due under the selected plan, until you cancel as described below or the Paid Service otherwise ends.
You are responsible for providing current, complete, and accurate billing information and for promptly updating any changes to your payment method or billing details.
11.3 Auto-Renewal
Unless otherwise stated at the time of purchase or in a separate written agreement, Paid Services renew automatically at the end of each billing period for a successive term equal in length to the prior billing period, unless you cancel before renewal.
By enrolling in an automatically renewing Paid Service, you authorize us to charge the then-current subscription fee, plus applicable taxes and charges, to your payment method at the start of each renewal term unless and until you cancel.
11.4 Price Changes and Plan Changes
We may change the fees, features, or terms of a Paid Service for future billing periods. If we make a material change to a recurring Paid Service, we will provide notice as required by law before the change takes effect. Your continued use of the Paid Service after the new fees or terms take effect constitutes acceptance of the updated fees or terms, unless you cancel before renewal.
We may also offer different plans, promotional pricing, discounts, or feature bundles from time to time, and not all users or plans will receive the same pricing, features, or offers.
11.5 Payment Failures; Suspension
If a charge is declined, reversed, or otherwise fails, we may retry the charge and/or suspend or limit access to the applicable Paid Service until payment is successfully processed. We may also downgrade, suspend, or terminate a Paid Service for nonpayment, subject to applicable law and any separate written agreement.
11.6 Online Cancellation
If you signed up online directly through GoGira, you may cancel online through the account settings or other cancellation mechanism we make available, including any prominently labeled “Cancel” button or link required by law.
If you subscribed through a third-party platform, marketplace, app store, billing partner, or reseller (for example, Apple App Store or Google Play), you must cancel through that third party unless the Service expressly states otherwise. Deleting the app, deleting your account, or stopping use of the Service does not by itself cancel a subscription billed through a third party.
If you have more than one subscription or Paid Service, each subscription or Paid Service may need to be canceled separately.
11.7 Effect of Cancellation; Refunds
Unless otherwise stated in writing or required by law, cancellation stops future renewal charges but does not entitle you to a refund for the current billing period. After cancellation, you may continue to use the applicable Paid Service through the end of the then-current paid term, unless the Paid Service is suspended or terminated earlier under this Agreement.
Fees already paid are non-refundable except as required by law, platform policy, or an express written offer from GoGira.
Cancellation of a Paid Service does not withdraw, reverse, or cancel any already-submitted applications, forms, requests, or workflow actions. You remain responsible for any pending deadlines, follow-ups, or obligations associated with those submissions.
11.8 Student Subscription Downgrade on Cancellation (Deluxe → Free)
If you are a student subscriber on a paid Deluxe Scholar subscription and you cancel, your account will remain on Deluxe Scholar until the end of your current paid period. On the day after that paid period ends, your account will automatically convert to the free Student Scholar plan, and you will not be charged further unless you resubscribe.
After conversion to the free Student Scholar plan:
- access to Deluxe-only features ends, including any features designated as premium, advanced, enhanced, or Deluxe-only at the time;
- your profile, saved schools/careers, messages, and submitted forms remain on the Service, subject to this Agreement and our Privacy Policy;
- certain Deluxe-only views, drafts, artifacts, insights, filters, exports, or similar premium items may become unavailable or hidden while you are on the free plan; and
- we may retain certain Deluxe-only artifacts for up to 90 days after conversion to support reactivation, after which they may be deleted unless required by law or restored through a qualifying resubscription before deletion.
If you resubscribe before retained artifacts are deleted, previously hidden or retained items may be restored if still available.
11.9 Institutional, Partner, and Organization Plans
If you purchase a Paid Service for an institution, partner organization, department, office, team, or other non-individual use, the applicable order form, subscription agreement, quote, invoice, enterprise terms, or other separate written agreement may include additional or different terms regarding billing, renewal, cancellation, seats, credits, access, implementation, data handling, payment timing, or refunds. In the event of a conflict between this Section 11 and such a separate written agreement, the separate written agreement controls for that Paid Service to the extent of the conflict.
11.10 Promotions, Trials, and Credits
If GoGira offers a free trial, promotional period, discount, coupon, credit, or similar offer, additional terms may apply. Unless otherwise stated in the offer terms, we may modify or end such offers at any time, and standard fees will apply after the promotional period ends unless you cancel in accordance with this Agreement.
11.11 California Subscribers
If California law applies to your subscription, you may cancel in the manner required by applicable California automatic-renewal law, including online cancellation where required for subscriptions entered into online.
12) Account Deletion (Self-Serve)
12.1 How to Delete Your Account
You may request deletion of your account through the self-serve account deletion feature we make available in the Service, such as through Settings → Account → Delete, or through another deletion workflow we make available from time to time.
12.2 Effect of Account Deletion
If you delete your account, we will take steps to delete or deidentify your account information and personal data from active systems, subject to this Agreement, our Privacy Policy, applicable law, and our legitimate safety, security, fraud-prevention, dispute-resolution, recordkeeping, and legal-compliance needs.
Account deletion generally means that your account will be closed and you will no longer be able to access the deleted account or use the associated logged-in features of the Service, unless and until you create a new account where permitted.
12.3 Information That May Be Retained
Deleting your account does not necessarily result in immediate deletion of all associated data from every system. We may retain certain information for a reasonable period, or longer where required or permitted by law, including for purposes such as:
- backup and disaster recovery;
- fraud prevention, abuse prevention, and security monitoring;
- legal holds, regulatory compliance, tax, accounting, and audit obligations;
- dispute resolution, investigations, and enforcement of this Agreement;
- preservation of safety-related records;
- records relating to completed transactions, subscriptions, payments, or consents; and
- institutional, school-related, scholarship, internship, advising, or other workflow obligations where retention is reasonably necessary.
Residual copies of information may remain in backups, logs, archives, and similar systems until those systems rotate, expire, or are purged in the ordinary course under our retention practices.
12.4 User Content and Shared Information
Deleting your account does not automatically delete all Content or information that has already been shared with, submitted to, or received by other users, higher-ed institutions, partners, references, parents/guardians, or other authorized recipients through the Service as part of a connection, submission, application, form, message, reference, Fast-Track Reference, or other workflow.
For example, where a student has chosen to connect with a higher-ed institution or partner, or has submitted information through a workflow, the recipient may retain and continue to use information already made available to it as permitted by this Agreement, the Privacy Policy, applicable law, and any applicable workflow or separate agreement.
12.5 Subscriptions and Billing
Deleting your account does not automatically cancel any subscription or Paid Service unless the Service expressly states otherwise. Subscription cancellation is governed by Section 11. If you subscribed through a third-party billing provider, platform, or app store, you must cancel through that provider unless otherwise stated.
12.6 Reinstatement
Once an account deletion request is processed, the deleted account may not be recoverable. In some cases, limited information may remain in backup or retention systems for a period of time, but that does not mean the account can be restored or reactivated.

This version does three important things for GoGira:
- it makes clear that account deletion is not the same as subscription cancellation;
- it makes clear that data already shared through connections, forms, references, and workflows may still exist with recipients; and
- it keeps the Terms aligned with your Privacy Policy's retention language.
13) Third-Party Services & Links
The Service may contain links to third-party websites or services that are not owned or controlled by GoGira. We are not responsible for their content, policies, or practices. Review their terms and privacy policies.
14) Security
We implement administrative, technical, and physical safeguards designed to protect information. No system is 100% secure. Use the Service in a secure environment and keep your credentials protected.
15) Warranty Disclaimer
Except as required by applicable law, the Service is provided “as is” and “as available.” GoGira and its Affiliates make no warranties or representations, express or implied, about the Service, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, or that the Service will meet your needs or expectations.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components, or that any Content you submit, access, or receive through the Service will remain available, accessible, or preserved for any period of time.
Any Content, information, opportunities, institutions, partners, services, recommendations, or outcomes made available through the Service are provided for general informational and service-delivery purposes only. Except as expressly stated by GoGira in writing, GoGira does not guarantee admissions, scholarships, internships, employment, counseling outcomes, financial-aid awards, matches, offers, placements, or other results from use of the Service.
16) Limitation of Liability
To the maximum extent permitted by applicable law, GoGira, its Affiliates, and their respective officers, directors, employees, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, business opportunities, or business interruption, arising out of or related to the Service or this Agreement, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, the total liability of GoGira and its Affiliates arising out of or relating to the Service or this Agreement will not exceed the total amount you paid to GoGira for the Service in the 12 months immediately preceding the event giving rise to the claim.
Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud, willful misconduct, or any other liability that cannot be excluded or limited under applicable law.
17) Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless GoGira and its Affiliates, officers, directors, employees, and agents from and against claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your Content; (b) your use of the Service; or (c) your violation of this Agreement or third-party rights; except to the extent caused by GoGira's gross negligence or willful misconduct.
18) Export Controls & Sanctions
You will not use, export, re-export, or transfer the Service in violation of applicable export control or sanctions laws and regulations.
19) Suspension & Termination
You may stop using the Service at any time. We may suspend or terminate your account or access to the Service if: (a) you materially or repeatedly breach this Agreement; (b) we are required to do so by law or court order; or (c) we reasonably believe your conduct causes or could cause harm or liability. We will notify you of the reason unless doing so would violate law or compromise an investigation. Appeals are available via the Help Center.
20) Arbitration; Class-Action Waiver
Agreement to Arbitrate. Any dispute arising out of or relating to this Agreement or the Service will be resolved by binding arbitration in Orange County, California, under the AAA Consumer Arbitration Rules.
Small-Claims & Injunctive Relief. Either party may bring an individual claim in small-claims court or seek injunctive relief in court to protect intellectual-property or prevent unauthorized use.
Class Waiver. Disputes must be brought individually, not as a class, representative, or private-attorney-general action.
Opt-Out. You may opt out of arbitration/class waiver by emailing contact@gogira.com within 30 days of first accepting these Terms, including your name, account email, and a clear statement that you opt out.
21) Governing Law & Venue
Except as otherwise provided in Section 20 (Arbitration), these Terms are governed by the laws of the State of California (excluding conflict-of-law rules). Subject to arbitration, the state and federal courts located in Orange County, California will have exclusive jurisdiction.
22) General Terms
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
Notices; Electronic Communications. We may provide notices by email, in-app messages, or by posting to the Service. By using the Service, you consent to receive electronic communications from us.
Entire Agreement. This Agreement is the entire agreement between you and GoGira regarding the Service and supersedes prior or contemporaneous agreements on that subject.
Severability. If any provision is unenforceable, the remainder remains in effect.
No Waiver. A failure to enforce any provision is not a waiver.
Interpretation. “Including” means “including without limitation.”
Limitation on Legal Action. Any cause of action related to the Service must commence within one (1) year after the claim accrues, to the extent permitted by law.
