GoGira! Affiliate Agreement

Definitions

• "Affiliate": The business, individual, or entity applying to or participating in the Affiliate Program and promoting GoGira! subscriptions in exchange for receiving commissions for sales directly resulting from such promotion.
• "Affiliate Dashboard": The platform provided by Company for Affiliates to track performance, commissions, and referrals.
• "Commission Fees": The percentage of net revenue earned for each Qualified Purchase as defined in this Agreement.
• "Qualified Purchase": A purchase made by a new customer referred through the Affiliate's unique URL, subject to conditions in Section 5.
• "Referred Customer": Each unique customer who uses the Affiliate's link to complete a subscription purchase.

Applying for the Program

1. To apply for the Affiliate Program, you must complete the signup and verification process.
2. The Company reserves the right to accept or reject applications at its sole discretion.
3. If rejected, the applicant may not reapply with the same promotional method.

Promotion of Affiliate Relationship

1. Unique Referral Links: The Company will provide unique links to Affiliates for tracking and promotion. These links must be used for all promotional efforts.
2. Prohibited Activities: Affiliates are prohibited from using unethical practices such as cookie stuffing, misleading claims, or unauthorized use of Company branding.
3. Approved Marketing: Affiliates may use marketing materials provided or approved by the Company, ensuring compliance with applicable laws.

Disclosures

Affiliates must comply with Federal Trade Commission (FTC) guidelines by clearly disclosing that they receive commissions for referrals.

Commission Payments

1. Commission Rate

   Affiliates earn 20% of the yearly subscription fee if it is paid upfront, or 20% of the monthly subscription fee for up to six (6) months following the initial referral of GoGira! subscription plans:

   • Student Scholar Deluxe Subscription
   • Higher Ed Schools Plus Subscription
   • Higher Ed School Pro Subscription
   • Partner Plus Subscription
   • Partner Pro Subscription
2. Qualified Purchases
   • Must be made within 90 days of the customer clicking the Affiliate’s link.
   • Are subject to the Company's review and approval to ensure no fraud or violations.
3. Payment Terms
   • Affiliates are paid once a month, during the first week of each month.
   • Commission payouts are released up to 60 days after qualifying sales are completed, and adjusted for any refunds, chargebacks, or cancellations.
   • Affiliates will receive 20% of the yearly subscription fee if paid upfront, or 20% of the monthly subscription fee for up to six (6) months following the initial referral.
   • A minimum payout threshold of $100 applies.
   • Payments will be made via ACH or other banking methods specified in the Affiliate Dashboard.

Responsibilities of the Affiliate

Affiliates are responsible for:

1. Maintaining an active promotional channel (e.g., website, social media).
2. Using only authorized materials and links.
3. Ensuring compliance with applicable laws and regulations.

Responsibilities of the Company

The Company will:

1. Provide tracking links, promotional materials, and access to the Affiliate Dashboard.
2. Track and report referrals and commissions transparently.
3. Ensure timely payment of earned commissions.

Term and Termination

1. This Agreement begins upon approval of the Affiliate's application and remains effective unless terminated.
2. Either party may terminate this Agreement with 30 days' notice.
3. The Company may terminate immediately for breach of terms, fraud, or unethical behavior.

Limitation of Liability

The Company is not liable for indirect or consequential damages arising from this Agreement or participation in the Affiliate Program.

Miscellaneous

• Governing Law: This Agreement will be governed by the laws of the State of California.
• Amendments: The Company may amend the terms of this Agreement with notice to the Affiliate.
• Entire Agreement: This Agreement constitutes the entire understanding between the parties.
